1. Terms of Service (Marketplace Terms)

AgGroGates Platform Terms of Service

These Terms of Service (“Terms”) govern the use of the AgGroGates platform located at www.aggrogates.com (the “Platform”), operated by AGG Global Inc. (“AgGroGates”, “AGG”, “we”, “our”, or “us”).

By accessing or using the Platform, you agree to comply with these Terms.

1. Nature of the Platform

AgGroGates operates as a digital marketplace and logistics facilitator connecting agricultural producers (“Sellers”) with buyers (“Buyers”) worldwide.

AgGroGates:

  • does not produce, own, or sell the products listed
    • does not take ownership of goods
    • does not act as a broker, distributor, or agent

All purchase agreements are directly established between Buyers and Sellers.

2. Eligibility

Users must:

  • be at least 18 years old
    • be legally authorized to conduct business in their jurisdiction
    • provide accurate registration information

AgGroGates may suspend or terminate accounts if inaccurate or fraudulent information is provided.

3. Buyer Responsibilities

Buyers agree to:

  • conduct due diligence before purchasing products, understanding that the seller needs to be capable of fulfilling the order and that asking for unconventional procedures is at your own risk.
    • only purchase the goods listed and approved on AgGroGates platform from the buyer
    • pay Sellers according to the agreed payment terms
    • communicate transaction details through the AgGroGates messaging system.

Buyers acknowledge that agricultural products naturally vary in quality and characteristics, and there cannot be a guarantee of that.

4. Seller Responsibilities

Sellers agree to:

  • provide accurate product descriptions
    • ship products matching the agreed specifications
    • deliver products to the designated AgGroGates collection warehouse.

Sellers remain solely responsible for:

  • product quality
    • regulatory compliance
    • product claims and representations.

5. Payment Structure

AgGroGates promotes a transparent direct-payment model.

  • Buyers pay Sellers directly. However, the Invoice from the Seller shall be to the exporter, and the exporter will have the invoice to you with a credit note to the amount paid to the seller. This is to comply with export regulations and accounting procedures.
    • AgGroGates may only request payment once the Seller delivers goods to the collection warehouse.

If Buyers choose to pay before that point, AgGroGates cannot guarantee fulfillment.

6. Logistics Services

AgGroGates may assist with:

  • export logistics
    • customs coordination
    • international shipping

However, shipping services may involve third-party logistics providers.

AgGroGates is not responsible for delays, customs inspections, or regulatory restrictions.

7. Platform Communications

All transaction negotiations should occur through the AgGroGates messaging system. PLEASE NOTE THERE IS EXPECTATION OF NO PRIVACY OF MESSAGES SENT via our messaging system. AgGroGates cannot verify agreements made outside the platform nor is it liable for any of them.

8. Reviews and Transparency

Users may leave reviews after each transaction.

AgGroGates:

  • does not guarantee accuracy of reviews
  • does not endorse or support any reviews or opinions posted on them
  • reserves the right to remove any reviews or block any seller or buyer if these reviews breach the terms and conditions herein, or if they are misleading, have profanity, are insulting, or in any way shape or form breach the community standards AgGroGates wishes to promote in its platform.
    • does not independently verify all claims made by users.

9. Returns and Refunds

Due to the nature of international agricultural trade:

  • all transactions are final
    • returns are not possible

AgGroGates may assist in dispute mediation but does not guarantee refunds.

10. Intellectual Property

10.1

All platform content uploaded by AgGroGates including:

  • text
    • graphics
    • logos
    • software

belongs to AgGroGates or its licensors and may not be used without permission.

User Content License and Authorization

User-Generated Content

The AgGroGates platform allows Sellers and Buyers (“Users”) to upload, submit, publish, display, or transmit content, including but not limited to:

  • product descriptions
    • text and written materials
    • photographs and images
    • graphics, logos, and visual elements
    • videos and multimedia
    • certifications or documentation
    • any other information or materials submitted through the Seller Portal, Buyer Portal, product listings, messaging system, or any other part of the platform

(collectively referred to as “User Content”).

License Granted to AgGroGates

By submitting, uploading, or publishing any User Content on the AgGroGates platform, the User hereby grants AGG Global / AgGroGates a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable, and non-exclusive license to:

  • use
    • reproduce
    • distribute
    • modify
    • adapt
    • translate
    • display
    • publish
    • publicly perform
    • create derivative works from
    • promote and market

such User Content in any format or media now known or later developed, including but not limited to:

  • the AgGroGates website and platform
    • marketing materials
    • social media
    • promotional campaigns
    • press releases
    • educational or informational materials
    • third-party partner platforms
    • investor or corporate presentations.

This license is granted without compensation to the User.

Ownership and Authorization

Users represent and warrant that:

  1. They own the rights to the User Content they upload, or
  2. They have obtained all necessary licenses, permissions, and authorizations required to grant the above license to AgGroGates.

Users further represent that the submission of such content:

  • does not infringe upon any copyright, trademark, trade secret, or other intellectual property rights
    • does not violate any privacy, publicity, or contractual rights
    • complies with all applicable laws and regulations.

User Responsibility and Indemnification

Users agree that they are solely responsible for the content they submit to the platform.

The User agrees to indemnify, defend, and hold harmless AgGroGates, AGG Global, its affiliates, officers, directors, employees, contractors, and partners from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • the use of User Content by AgGroGates
    • any alleged infringement of intellectual property rights
    • unauthorized use of images, logos, or materials
    • any violation of applicable laws related to submitted content.

Platform Right to Use and Modify Content

AgGroGates reserves the right, at its sole discretion, to:

  • edit
    • adapt
    • translate
    • remove
    • reformat
    • or republish User Content

for purposes of improving product listings, ensuring clarity, or promoting the platform.

AgGroGates is under no obligation to maintain or display any User Content.

No Liability for User Content

AgGroGates does not verify or guarantee the accuracy, authenticity, or legality of User Content provided by Buyers or Sellers.

To the fullest extent permitted by applicable law, AgGroGates shall not be liable for any damages arising from reliance on User Content, including but not limited to:

  • inaccurate product descriptions
    • unauthorized use of images
    • misrepresentation by Sellers or Buyers.

Survival of License

The license granted under this section shall survive the termination of the User’s account or use of the platform.

AgGroGates may continue to use previously submitted content for archival, informational, marketing, or promotional purposes.

AgGroGates’ liability shall not exceed any service fees paid to the platform.

12. Indemnification

Users agree to indemnify and hold harmless AgGroGates against any claims arising from:

  • misuse of the platform
    • violations of applicable laws
    • disputes between Buyers and Sellers.

13. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which AGG Global is incorporated, unless otherwise required by applicable consumer protection laws in the user’s country.

14. Changes to Terms

AgGroGates reserves the right to modify these Terms at any time.

Continued use of the Platform constitutes acceptance of the updated Terms.

2. Buyer–Seller Platform Agreement

AgGroGates Direct Trade Transaction Agreement

This agreement applies to all transactions conducted through the AgGroGates platform.

1. Direct Trade Relationship

Buyers and Sellers acknowledge that:

  • transactions occur directly between Buyer and Seller
    • AgGroGates does not act as buyer, seller, broker, or distributor

AgGroGates serves only as a technology and logistics facilitator.

2. Product Responsibility

Sellers are solely responsible for:

  • product authenticity
    • quality and characteristics
    • compliance with export regulations.

Buyers accept that agricultural products may vary due to:

  • harvest conditions
    • fermentation practices
    • storage
    • natural variation.

3. Payment Terms

Buyers agree to pay Sellers directly using the payment details provided by the Seller.

AgGroGates recommends payment only after products are delivered to the collection warehouse.

If payment is made before this stage, the Buyer assumes the associated risk.

4. Delivery to Warehouse

Sellers must deliver products to the designated AgGroGates Collection Warehouse.

Once received, AgGroGates may assist with:

  • export processing
    • shipment coordination.

5. Risk Transfer

Risk associated with the goods transfers:

  • from Seller to Buyer upon shipment from the collection warehouse, unless otherwise agreed.

6. No Returns

Due to the nature of agricultural trade and international shipping:

  • products cannot be returned
    • all sales are final

7. Dispute Resolution

In case of dispute:

  1. Buyer and Seller must first attempt resolution through the platform messaging system.
  2. AgGroGates may offer informal mediation assistance.
  3. AgGroGates does not provide arbitration or legal enforcement.

8. Platform Non-Liability

AgGroGates shall not be liable for:

  • misrepresentation by Sellers
    • inaccurate product descriptions
    • failure to ship products
    • quality disputes between parties.

9. Transparency and Reviews

After each transaction:

  • Buyers may review Sellers
    • Sellers may review Buyers.

These reviews are intended to improve marketplace transparency.

10. Acceptance

By conducting a transaction through AgGroGates, both parties acknowledge that they:

  • understand the direct trade nature of the platform
    • accept the associated commercial risks
    • agree that AgGroGates is not a party to the sales contract.
